LICENSE AGREEMENT IMPORTANT: READ THIS LICENSE AGREEMENT CAREFULLY BEFORE USING ANY CODEWALL SUBSCRIPTION, SERVICE OR SOFTWARE. CODEWALL TECHNOLOGIES agrees to grant the user "THE USER" of the software accompanying this license and any other related service or software "THE SOFTWARE" a limited license to use THE SOFTWARE. This LICENSE AGREEMENT defines what THE USER may do with THE SOFTWARE, and contains limitations on warranties, liabilities and remedies. This LICENSE AGREEMENT may be revoked by CODEWALL TECHNOLOGIES at any time with a written notice if THE USER fails to comply with the terms of this LICENSE AGREEMENT. The copyright and all other rights in and to THE SOFTWARE including but not limited to all code, algorithms, text, and any media included are and remain owned by CODEWALL TECHNOLOGIES. LICENSE OF DEMO, PAID AND SUBSCRIPTION VERSIONS A DEMO version of THE SOFTWARE may be used by THE USER for evaluation purposes only. Any assembly created by the DEMO version and any copies made must be deleted one day after the creation of the original assembly. Assemblies made with the DEMO version can't be distributed. The DEMO version may be freely copied and distributed to other users for their evaluation. Other users must agree with this LICENSE AGREEMENT to evaluate THE SOFTWARE. The SUBSCRIPTION and PAID versions of THE SOFTWARE allow THE USER to use THE SOFTWARE only on a single computer and only by a single user at a time. If THE USER wishes to use THE SOFTWARE on more than one computer or more than one user at a time, THE USER will need a separate license or subscription for each computer or user at a time. THE USER may not use THE SOFTWARE to perform any activity which breaches the rights of CODEWALL TECHNOLOGIES or any third party.SERVICE CANCELATION Subscriptions to CODEWALL TECHNOLOGIES services may be canceled at any time by THE USER. However, no refunds will be made for the remaining time of the subscription. Usage of any CODEWALL TECHNOLOGIES service may be suspended by CODEWALL TECHNOLOGIES if THE USER performs unlawful, harmful or abusive activities with THE SOFTWARE or performs any activity which breaches the rights of CODEWALL TECHNOLOGIES or any third party. CODEWALL TECHNOLOGIES may also decide to suspend a subscription or service if an abuse of the service is detected. An abuse of the service is defined as an excessive (highly above average) usage of the service.REFUNDS All payments made to CODEWALL TECHNOLOGIES by THE USER are non-refundable.DISTRIBUTION THE SOFTWARE may be freely copied and distributed to other users provided the other users comply with this LICENSE AGREEMENT. Any copy of THE SOFTWARE must include all copyright and trademark notices, and must include a copy of this LICENSE AGREEMENT.TERM OF LICENSE The term of this LICENSE AGREEMENT shall continue perpetually from the day of first use until CODEWALL TECHNOLOGIES decides to terminate it by written notice. THE USER agrees, upon termination, to destroy all copies of THE SOFTWARE and derived works. The limitations of use, warranties and liability set forth in this LICENSE AGREEMENT shall continue in force even after termination.ACCEPTANCE OF THIS LICENSE AGREEMENT By subscribing to or using any CODEWALL TECHNOLOGIES service or using, downloading and/or installing THE SOFTWARE, THE USER agrees to the terms of this LICENSE AGREEMENT.DISCLAIMER OF WARRANTY AND LIABILITY THE SOFTWARE AND ANY RELATED SUBSCRIPTION, SERVICE OR SOFTWARE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODEWALL TECHNOLOGIES DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODEWALL TECHNOLOGIES BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION OR LOSS OF BUSINESS INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE. ANY LIABILITY OF CODEWALL TECHNOLOGIES WILL BE LIMITED EXCLUSIVELY TO THE REFUND OF ORIGINAL PURCHASE PRICE.DERIVED WORKS THE USER may not develop derived works that offer similar functionality as THE SOFTWARE, expose the features of THE SOFTWARE for use by a third party nor create software that might directly compete with THE SOFTWARE.NON DISCLOSURE THE USER agrees that it will not disclose any confidential information obtained by using THE SOFTWARE or any CODEWALL TECHNOLOGIES service.NON COMPETITION THE USER agrees not to directly or indirectly engage or have any interest either individually or with others, as an owner, partner, consultant, representative, agent, employee or other in any company that develops markets or sells any product that directly competes with THE SOFTWARE.SOFTWARE REVIEWS Any review of THE SOFTWARE made by THE USER must be submitted to CODEWALL TECHNOLOGIES before being published.OTHER RESTRICTIONS THE USER may not rent, lease, sublicense, translate, disassemble, reverse engineer, or decompile THE SOFTWARE or assemblies created by THE SOFTWARE, or modify or merge THE SOFTWARE or any part of THE SOFTWARE with other software or service. This LICENSE AGREEMENT may not be assigned or transferred without prior written consent of CODEWALL TECHNOLOGIES.INVALID PROVISIONS If any provision of this LICENSE AGREEMENT shall be declared invalid or unenforceable, the remaining provisions of this LICENSE AGREEMENT shall remain in full force and effect to the fullest extent permitted by law. In such event, each provision of this LICENSE AGREEMENT which is invalid or unenforceable shall be replaced with a provision as similar in terms to such invalid or unenforceable provision as may be possible which is legal and enforceable.ENTIRE AGREEMENT This LICENSE AGREEMENT is the entire agreement between CODEWALL TECHNOLOGIES and THE USER, and supersedes any other agreement, oral or written, and may not be changed except by a written signed agreement. |
